About these terms
These Terms & Conditions govern your access to and use of Echo Archive.
Echo Archive is operated by Brains & Brawn Studio Limited (“Echo Archive”, “we”, “us” or “our”).
By creating an account or using Echo Archive, you agree to these terms. If you are using Echo Archive on behalf of a gallery, studio, company or other organisation, you confirm that you have authority to act on its behalf.
Using Echo Archive
Echo Archive is a platform for artists, galleries, studios and arts organisations to document artworks, organise information, manage exhibitions and related activity.
You must use Echo Archive lawfully and in accordance with these terms.
You are responsible for ensuring that the information you provide when creating and maintaining your account is accurate and reasonably up to date.
Accounts and workspaces
Some Echo Archive features require an account. You are responsible for activity carried out through your account and for taking reasonable steps to keep access to it secure.
You must not knowingly allow another person to access Echo Archive using your identity or authentication credentials unless the platform expressly supports that form of access.
Organisation and gallery workspaces
Echo Archive may allow multiple people to participate in the same gallery, studio or organisation workspace.
Workspace owners or administrators may invite other users and assign them roles or permissions. If you invite another person to a workspace, you are responsible for ensuring that they should have access to the information available through that workspace.
Users with appropriate permissions may be able to create, edit, organise or remove content belonging to the workspace.
Your content and artwork
Your work remains yours.
You retain ownership of artwork, photographs, documents, descriptions, notes and other content that you upload or add to Echo Archive.
Using Echo Archive does not transfer ownership of your artwork or other content to us.
Permission to operate the service
To provide Echo Archive, you give us a limited permission to host, store, copy, process, resize, display and transmit your content where technically necessary to operate the service and provide the features you choose to use.
This permission is non-exclusive and exists only for the purpose of operating and providing Echo Archive. It does not give us ownership of your content.
You are responsible for ensuring that you have the necessary rights or permissions to upload and use content you add to Echo Archive.
You must not upload content that infringes another person's copyright, privacy, confidentiality or other legal rights.
Gallery features and open calls
Echo Archive provides tools that galleries and organisations may use to manage exhibitions, artworks, submissions, open calls, reviews and related workflows.
Open calls
Where a gallery or organisation publishes or manages an open call through Echo Archive, that organisation is responsible for the opportunity, its requirements, eligibility criteria, deadlines, selection process and decisions.
Echo Archive provides the software used to facilitate these processes. Unless we explicitly state otherwise, Echo Archive is not the organiser, curator, judge or decision-maker for an open call operated by another organisation.
We do not guarantee that submitting work through an open call will result in selection, exhibition, representation, sale or any other outcome.
Information about other people
Galleries and organisations may store information relating to artists, collectors, applicants or other contacts. Where you add information about another person, you are responsible for ensuring that you have an appropriate reason and, where required, authority to process that information.
Acceptable use
You must not use Echo Archive to:
- Break the law or encourage unlawful activity
- Upload material that you do not have the right to use
- Infringe another person's intellectual property, privacy or other rights
- Upload malicious software, harmful code or material intended to disrupt the service
- Attempt to gain unauthorised access to another account, workspace or our systems
- Circumvent security measures, access controls or usage restrictions
- Scrape, harvest or systematically extract data from Echo Archive without our permission
- Use the service to send spam, fraudulent communications or abusive material
- Interfere with the normal operation or security of the platform
We may restrict access to Echo Archive where reasonably necessary to investigate or prevent misuse, protect users or the platform, or comply with legal obligations.
Subscriptions and trials
Echo Archive may offer free trials, free functionality and paid subscription plans. The features, limits and prices associated with each plan will be shown when you subscribe.
Trials
Where we offer a free trial, the duration and conditions of that trial will be shown when you create your account or choose the relevant plan.
We may change or withdraw trial offers for future customers. Doing so will not retrospectively change the terms of a trial that has already begun unless required for legal or security reasons.
Paid subscriptions
If you purchase a paid subscription, you agree to pay the price shown at the time of purchase together with any taxes that apply.
Unless otherwise stated when you subscribe, subscriptions renew automatically for the selected billing period until cancelled.
You can cancel renewal of your subscription in accordance with the cancellation options provided through Echo Archive. Cancellation normally takes effect at the end of the current paid billing period unless applicable law requires otherwise.
Changes to pricing
We may change subscription prices or plan features from time to time. Where a change affects an existing paid subscription, we will provide reasonable notice before the change takes effect where required.
Any statutory rights you have as a consumer are not affected by these terms.
Service availability
We work to keep Echo Archive reliable and available, but no online service can operate without interruption.
The platform may occasionally be unavailable because of maintenance, updates, technical problems, security issues or circumstances outside our reasonable control.
We may change, improve, replace or discontinue individual features as Echo Archive develops.
Where a material change significantly affects a paid service, we will take reasonable steps to provide notice where appropriate.
Our intellectual property
Your content belongs to you. Echo Archive itself does not.
The Echo Archive platform, including its software, design, interface, branding, text, graphics and other materials created by us, is owned by or licensed to Brains & Brawn Studio Limited and is protected by applicable intellectual property laws.
These terms give you permission to use Echo Archive in accordance with your account and subscription. They do not transfer ownership of our software, branding or other intellectual property to you.
You must not copy, reproduce, sell, redistribute or create derivative versions of Echo Archive itself except where permitted by law or with our written permission.
Third-party services
Some parts of Echo Archive may rely on third-party services necessary to operate the platform, such as authentication, hosting, email delivery or payment processing.
For example, if you choose to sign in using Google, Google provides the authentication service and its own terms and privacy policies apply to its services.
We are not responsible for independent third-party websites or services that you choose to access outside Echo Archive.
Closing your account
You may stop using Echo Archive and request closure of your account.
Before closing an account, you are responsible for exporting or retaining any information you wish to keep where export functionality is available.
We may suspend or terminate access where there has been a serious or repeated breach of these terms, where continued access creates a security or legal risk, or where we are required to do so by law.
Where reasonably possible, we will provide notice before terminating an account unless immediate action is necessary for security, legal or abuse-prevention reasons.
How personal information is handled following account closure is explained in our Privacy Policy.
Our responsibility
Nothing in these terms excludes or limits liability where it would be unlawful for us to do so, including liability that cannot be excluded under applicable consumer law.
Echo Archive provides tools for organising, documenting and managing information. You remain responsible for professional, commercial, curatorial, financial and other decisions you make using that information.
We do not guarantee that information entered by users is accurate, complete or suitable for a particular purpose.
To the extent permitted by law, we are not responsible for losses caused by circumstances outside our reasonable control or by your failure to comply with these terms, maintain appropriate access to your account, or provide accurate information.
If you use Echo Archive primarily for business purposes, additional limitations permitted by applicable law may apply to indirect or consequential business losses, including loss of profit, revenue or business opportunity.
Changes to these terms
We may update these Terms & Conditions as Echo Archive develops, our services change or legal requirements change.
When we make changes, we will update the “Last updated” date at the top of this page.
If a change materially affects your rights or an existing paid service, we will take reasonable steps to bring it to your attention before it takes effect where appropriate.
Governing law
These terms are governed by the laws of England and Wales.
If you are a consumer, you may also have rights under the mandatory laws that apply where you live, and nothing in these terms is intended to remove those rights.
If you are using Echo Archive for business purposes, the courts of England and Wales will have jurisdiction over disputes relating to these terms, subject to any mandatory legal rights that apply.
